Terms of Service

1. Agreement to these terms

By creating an account or using Equip2Lead (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These Terms form a binding agreement between you and AFRILEAD (African Leadership Development Center), based in Yaoundé, Cameroon ("we," "us," "our").

2. Who can use the Service

You must be at least 16 years old to use Equip2Lead. If you are between 16 and 18 (or the age of majority in your jurisdiction), you confirm that you have permission from a parent or guardian. By creating an account, you confirm that the information you provide is accurate and that you will keep it up to date.

3. Your account

You are responsible for keeping your account credentials secure. You are responsible for all activity that takes place under your account. Notify us immediately at contact@equip2lead.coach if you suspect unauthorised access.

4. Subscription plans & billing

Equip2Lead offers a free tier (assessment only) and paid tiers (Growth and Transform). Paid subscriptions renew automatically on a monthly or annual basis until cancelled.

• Billing: Charges are processed by Stripe, CinetPay, or Paystack depending on your region. You authorise us to charge your chosen payment method on each billing cycle until you cancel.
• Cancellation: You may cancel from your account settings at any time. Cancellation takes effect at the end of your current billing period — you retain access until then.
• Refunds: Because the assessment is free, you can see what you're paying for before you pay. We will refund payments made within the last 14 days on request, at our reasonable discretion. Refund requests: billing@equip2lead.coach.
• Price changes: We may change prices. We will give at least 30 days' notice of any price increase that affects you.
• Taxes: Prices are exclusive of applicable taxes, which will be added where required.

5. What you can and can't do

You agree not to:

• Use the Service for anything illegal, harmful, or abusive
• Share your account credentials with anyone else
• Scrape, copy, or redistribute our content (including AI coach responses, lessons, and frameworks) for commercial purposes without written permission
• Attempt to reverse-engineer the Service, the AI system, or the knowledge base
• Use the Service to build a competing product
• Submit content that is unlawful, defamatory, threatening, or violates anyone's rights
• Attempt to bypass any security measures, rate limits, or access controls

We reserve the right to suspend or terminate accounts that violate these terms.

6. Your content

"Your content" means the answers, messages, notes, and other information you submit to the Service. You retain ownership of your content. You grant us a limited licence to process, store, and display your content solely to operate the Service for you.

You are responsible for the accuracy and legality of the content you submit. You must not submit content that you do not have the right to share.

7. Our content

The Equip2Lead platform, the five-pillar diagnostic framework, the assessment questions, the lesson library, the AI coach responses, the knowledge base, and all related materials are our intellectual property (or licensed to us). You are granted a personal, non-transferable, non-exclusive licence to use them for your own coaching journey only.

You may not reproduce, redistribute, republish, or sell any part of the Service or its content without our written permission.

8. The AI coach — important

The AI coach is a software tool. It is not a licensed therapist, counsellor, pastor, doctor, lawyer, or financial advisor. Its responses are informational and guidance-oriented, drawn from a curated knowledge base, but they do not constitute:

• Medical or psychological diagnosis or treatment
• Legal advice
• Financial or investment advice
• Spiritual direction equivalent to pastoral care from a qualified pastor or counsellor

If you are in crisis, experiencing severe distress, or thinking about harming yourself or others, please contact a qualified professional or local emergency services immediately.

You agree not to rely on the AI coach as your sole source of decision-making on matters where professional expertise is required.

9. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

10. Limitation of liability

To the maximum extent permitted by law:

• We will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Service.
• Our total aggregate liability to you for any claim arising from these Terms or your use of the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Service.

12. Termination

You may terminate your account at any time from settings. We may terminate or suspend your account immediately if you materially breach these Terms, misuse the Service, or if continued operation would expose us to legal risk. Upon termination, your right to use the Service ends and we will delete your data in accordance with our Privacy Policy.

13. Changes to the Service & terms

We may modify, add, or remove features of the Service. We may update these Terms from time to time. If we make material changes, we will notify you. Continued use of the Service after changes take effect means you accept the updated Terms.

14. Governing law & disputes

These Terms are governed by the laws of the Republic of Cameroon, without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of the Service shall be resolved in the courts of Yaoundé, Cameroon — provided that nothing in this clause limits any mandatory consumer protection rights you may have under the law of your country of residence.

Before filing any formal claim, you agree to first contact us in good faith at contact@equip2lead.coach to attempt to resolve the dispute informally.

15. Severability & waiver

If any part of these Terms is found unenforceable, the remainder will continue in effect. Our failure to enforce a right under these Terms is not a waiver of that right.

16. Entire agreement

These Terms, together with our Privacy Policy, form the entire agreement between you and us regarding the Service and supersede any prior agreements.
